Toronto, Ontario--(Newsfile Corp. - April 4, 2022) - Loon Energy Corporation (TSXV: LNE) (the "Company" or "Loon") and Optimind Pharma Inc. ("Optimind") have entered into a second amending agreement to the definitive acquisition agreement announced on November 30, 2021 and December 23, 2021, with respect to the reverse takeover transaction between Loon and Optimind (the "Transaction"). The amending agreement provides for an extension to the completion of the Transaction to be on or before June 30, 2022. Optimind also agreed to pay certain costs of the Company under the amendment agreement.
Optimind has also advised that it has completed the minimum concurrent financing of $500,000 and is nearing completion of its audited financial statements needed for completion of the Transaction and listing on the CSE.
Completion of the Transaction is subject to a number of conditions, including but not limited to, acceptance of the CSE and TSXV. There can be no assurance that the Transaction will be completed as proposed or at all. The TSXV has in no way passed upon the merits of the proposed Transaction and has neither approved nor disapproved the contents of this press release.
